Terms of Service.

1. Agreement to Terms

By accessing or using the services provided by VVS Technologies ("we," "us," or "our"), you agree to be bound by these Terms of Service. These terms apply to all visitors, users, and others who access or use our digital services, hosting platforms, and custom development products.

3. Hosting & Uptime

We strive for 99.9% uptime on our enterprise SSD cloud hosting. VVS Technologies shall not be held liable for indirect damages, including data loss or revenue loss, resulting from server outages, third-party API changes, or unauthorized access outside our direct network control.

4. Intellectual Property

Upon receipt of full and final payment, the client retains ownership of the final deployed project code and associated custom assets. VVS Technologies reserves the right to showcase the completed project in our professional portfolio unless a Non-Disclosure Agreement (NDA) is specifically requested by the client.

5. Acceptable Use (Hosting Clients)

Clients using our cloud hosting must not host or transmit:

• Content that is illegal under Belizean or international law.
• Malware, phishing kits, or credential-stealing tooling.
• Unsolicited bulk email (spam) originating from our network.
• Content that infringes third-party copyright, trademarks, or privacy.
• Resource-abusive workloads (e.g. crypto mining) without a dedicated plan.

Violations may result in content removal, account suspension, or termination without refund.

6. Payment Terms

All rates are quoted and invoiced in Belize Dollars (BZD) unless otherwise agreed. Standard payment terms:

• Development deposit: 50% of project total at signing, balance tied to milestones.
• Hosting: Billed monthly or annually in advance. Annual plans receive a 10% discount.
• Late fees: Invoices past 14 days accrue 2% per month interest. Hosting past 30 days may be suspended.
• Accepted methods: Bank transfer (Atlantic, Belize Bank, Heritage), cash, or credit card via secure gateway.

7. Refund & Cancellation Policy

• Design deposits are non-refundable once discovery work has begun, as time and strategy have been invested.
• Milestone payments are non-refundable after the milestone is accepted in writing.
• Hosting may be cancelled any time with 30 days' notice. Unused prepaid months on annual plans are refunded pro-rata minus the 10% annual discount.
• Domain registrations are non-refundable once registered with the registrar.

We will always work with you in good faith to find fair resolutions on a case-by-case basis.

8. Limitation of Liability

To the maximum extent permitted by Belizean law, VVS Technologies' aggregate liability for any claim arising from our services is limited to the total fees paid by the client for the specific service during the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — even if advised of the possibility.

9. Dispute Resolution

Before initiating any legal action, both parties agree to attempt good-faith resolution through direct negotiation for at least 30 days. If unresolved, disputes will be submitted to mediation in Belize City before any litigation. All matters remain subject to the exclusive jurisdiction of the courts of Belize.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Belize, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
